Microsoft and OpenAI are once again shaking up the AI world, announcing that they’ve struck a non-binding deal to redefine their relationship. The move would pave the way for OpenAI to shift into a for-profit company, a major restructuring that could eventually see it head towards a public listing. Think of it as the next chapter in one of the most talked-about partnerships driving the global AI frenzy.

So, what’s actually new here? The finer details of the new commercial arrangements remain under wraps, but both firms say they’re hammering out a definitive agreement. For OpenAI, this deal is a leap towards a more conventional corporate set-up, giving it the flexibility to raise capital on Wall Street terms and fuel its relentless push to advance artificial intelligence.

Microsoft, of course, has been at the heart of OpenAI’s story for years. The tech giant first backed the startup with a cool $1 billion in 2019, before following up with a much heftier $10 billion investment in 2023. Until recently, Microsoft enjoyed exclusive rights to market OpenAI’s software tools via its Azure cloud, along with priority access to its cutting-edge models.

But things are evolving quickly. Earlier this year, Microsoft’s once-iron grip loosened as OpenAI started to look elsewhere for computing muscle. Cue Project Stargate, OpenAI’s ambitious data centre initiative. Alongside it came blockbuster long-term cloud deals worth $300 billion with Oracle and another partnership with Google. Clearly, OpenAI is spreading its wings.

That’s hardly surprising. With revenues now climbing into the billions, OpenAI needs vast amounts of computing power to keep pace with demand. Relying on just one partner isn’t enough anymore. By embracing a broader network of providers and moving to a for-profit model, the company is betting it can sustain growth while pushing forward with ever more sophisticated AI systems.

Microsoft, meanwhile, isn’t about to step aside. It wants guaranteed access to OpenAI’s technology, even if the day comes when OpenAI declares its models have achieved something close to human-level intelligence. Under the current framework, such a milestone would technically end their partnership. Understandably, Microsoft would rather not be left out in the cold at that point.

Another intriguing twist lies in OpenAI’s unusual structure. Right now, its nonprofit arm still calls the shots. Under existing terms, that nonprofit is expected to receive over $100 billion, roughly 20 per cent of the $500 billion valuation OpenAI is chasing in private markets. That would make it one of the richest nonprofits on the planet, according to chairman Bret Taylor. Quite the war chest.

But before the champagne corks pop, there are hurdles ahead. Attorneys general in California and Delaware must approve OpenAI’s conversion into a for-profit entity. The company is racing to finalise the change by year’s end, miss that deadline and it could forfeit billions in funding.

All this comes as Microsoft and OpenAI continue to compete as much as they collaborate. Both are rolling out consumer chatbots and enterprise AI tools, while Microsoft invests heavily in building its own models to reduce dependence on its partner.

In short: one of tech’s most fascinating alliances is being rewritten. Expect drama, high-stakes negotiations, and plenty more headlines before the ink on this deal finally dries.
